What Are Corporate Bylaws?

Corporate Bylaws are legal documents adopted by a corporation’s board of directors which put into place legally binding terms which will establish a corporation’s internal management structure and define the manner in which a corporation will be run.

In other words, the bylaws will act as the corporation’s internal operating manual, which unlike the articles of incorporation, does not need to be filed with any state or government entity.
